Logos,corporate information, most text, and personalized banners that belong to Advance Marketing Services or their affiliated companies are protected by copyright and may not be used in any other circumstance than the direct promoting of the owners products or services.  This Online linkage agreement ("Agreement") is made and entered into as of this day (the "Effective Date") by and between affiliate , and Advance Marketing Services, a Florida limited liability corporation ("Webreferrals.com") and any affiliated companies. "Confidential Information" does not include information that: (i) is or becomes generally known or available by publication, commercial use or otherwise through no fault of the receiving Party; (ii) is known by the receiving Party at the time of disclosure and is not subject to restriction; (iii) is independently developed or learned by the receiving Party; (iv) is lawfully obtained from a third party that has right to make such disclosure; or (v) is made generally available by the disclosing Party without restrictions on disclosure. 1.2    "Content" means the editorial, design, HTML and other content of webreferrals.com, the amsconsolidation.com and/or the Affiliate Site delivered or made available by Advance Marketing Services or its users; provided that Content as used herein shall not be deemed to include any user-generated queries, postings or other third party-generated material. "Webreferrals.com" means all Web sites owned, maintained, or operated by Advance Marketing Services, including without limitation http://www.webreferrals.com, as well as the following Web sites affiliated with Advance Marketing Services.  amsconsolidation.com and crsfinancial.com . 1.4     "Affiliate Site" means the Web site that links to the webreferrals.com site pursuant to this agreement. 1.5    "Marks" means the trademarks, service marks and logo designs of Wired indicated by this Agreement, including the webreferrals.com word mark and webreferrals.com. 2.    Responsibilities of the Parties. Affiliate’s Responsibilities. This Agreement governs the relationship between the parties wherein Affiliate links its website to the webreferrlas.com application webpage in order for webreferrlas.com to obtain sales and leads. Affiliate, by this Agreement is to be compensated based on the number of such sales and referrals. Affiliate will place the specific webreferrlas.com banner on its website which contains a "click-through" Banner whereby Affiliate site users can directly access the webreferrlas.com webpage.  The Parties herein agree to all the above terms and conditions contained herein. And this Agreement shall be effective of the date the party Agrees online.
